Asian American Senior Citizens Association of Atlanta, Inc.
Article I General Provisions
Article 1. The name of this organization shall be Asian American Senior Citizens Association of Atlanta, Inc.
Article 2. The Association is a non-profit, non-political, and non-religious organization. Its purpose is to promote the quality of life of Asian American seniors by providing health, educational, recreational, and social activities, advocating for social welfare, and offering consultation and assistance in daily living matters.
Article 3. The Association shall hold regular meetings twice per month and organize annual non-regular outings and travel activities as appropriate.
Article II Membership
Article 4. Any Asian American individual aged 55 or older residing in the Atlanta metropolitan area and supporting the mission of the Association may apply for membership.
Article 5. Members may be nominated and elected as Directors, may express opinions on Association affairs, and may request assistance when encountering difficulties.
Article 6. Members obligations include upholding the Association s reputation, paying dues, supporting the Board and President, and signing activity liability waivers.
Article III General Membership Meeting
Article 7. A General Membership Meeting shall be held once per year and convened by the Chairperson of the Board.
Article IV Board of Directors
Article 8. The Board of Directors is the highest decision-making body of the Association and shall consist of at least ten Directors in odd number.
Article 9. Directors serve two-year terms and may be re-elected.
Article 10. The Board shall elect a Chairperson and Vice Chairperson from among its members.
Article 11. The Board shall appoint a Secretary General responsible for records, archives, and documentation.
Article 12. The Board shall appoint a Treasurer responsible for budgets, financial reports, and asset management.
Article V President
Article 15. The President shall serve as Chief Executive Officer, executing Board resolutions and managing daily operations.
Article 16. Vice Presidents shall be nominated by the President and approved by the Board.
Article VI Finances
Article 17. Funds derive from membership dues and public fundraising.
Article 18. Restricted funds may not be used without Board approval.
Article 19. Authorized expenses may be reimbursed by the Treasurer.
Article 20. Financial procedures shall be set by the Board.
Article VII Supplemental Provisions
Article 21. Amendments may be made by Board approval.
Article 22. Interpretation authority rests with the Board of
Directors.
